Novo Insurance Terms of Use

ACCEPTANCE

These Novo Insurance Terms of Use (the "Terms"), together with the Novo Insurance Privacy Policy shall govern the use by You ("You") of the Novo Insurance website www.novo.us (the "Website") and the Novo Insurance mobile application (the "Mobile App") and/or the Novo Insurance embedded application whether in-car or mobile (the "Embedded App"). The Mobile App and Embedded App are also collectively referred to herein as "Apps" and, together with associated services, as the "Novo Insurance Platform." If You are a minor under the legislation of your state, You are not entitled to use the Website or Apps. Please read the following terms and conditions carefully. If you are under the age of 13, do not access or use the Apps and do not submit any personal information to us. By using the Novo Insurance Platform You agree to be bound by the terms and conditions contained in these Terms Policy. If You do not agree to these Terms, then You are not entitled to use the Novo Insurance Platform. If You are accepting on behalf of a company, You represent and warrant that You have full authority to act for and to bind that company.

The Website and Apps are copyrighted works belonging to Novo Insurance, LLC and/or its affiliates ("Company") or licensors. Certain features of the Mobile App and Embedded App may be subject to additional guidelines, terms, or rules, which will be posted in the Mobile App or Embedded App (as applicable) in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

These Terms require the use of arbitration (Section 9.2) on an individual basis to resolve disputes, rather than jury trials or class actions, and also limit the remedies available to You in the event of a dispute. You have the right to opt out of the Arbitration Agreement as set forth below.

ACCOUNTS

2.1 Account Creation. In order to use certain features of the Mobile App and/or Embedded App, You must register for an account ("Account") and provide certain information about yourself as prompted by the account registration form according to our Privacy Policy. You represent and warrant that: (a) all required registration information You submit is truthful and accurate; and (b) You will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by following the instructions on the Apps. Company may suspend or terminate your Account in accordance with Section 8. You may also create a non‑policyholder account to use certain Apps features (for example, programs that allow you to preview a driving safety score before purchasing a policy).

2.2 Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree not to give or make available your login information to any unauthorized individual. You agree to immediately notify Company of any unauthorized use, or suspected unauthorized use, of your Account or any other breach of security. Company cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

ACCESS TO THE APPS

3.1 License. Subject to these Terms, Company grants You a non-transferable, non-exclusive, revocable, limited license to use and access the Apps solely for your own use. If you decide to participate in the Novo Safety Program (the "Program"), additional features and functionalities may be provided, including the ability to receive driving insights and view per‑vehicle safety scoring. Your use of these features is subject to these Terms and the Novo Safety Program Terms & Conditions, and our data collection and use are further described in the Telematics Policy and Privacy Policy. Depending on your vehicle’s eligibility, participation may use in‑car embedded technology or the Mobile App (including Bluetooth and other device permissions) to collect telematics data.

3.2 Certain Restrictions. The rights granted to You in these Terms are subject to the following restrictions: (a) You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Apps, whether in whole or in part, or any content displayed on the Apps; (b) You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Apps; (c) You shall not access the Apps in order to build a similar or competitive website, product, or service; (d) except as expressly stated herein, no part of the Apps may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (e) where Program participation uses the Mobile App, you must maintain required device permissions and connectivity (e.g., Bluetooth and location) so that the App can function as intended. Unless otherwise indicated, any future release, update, or other addition to functionality of the Apps shall be subject to these Terms. All copyright and other proprietary notices on the Apps (or on any content displayed on the Apps) must be retained on all copies thereof.

You agree not to use the Apps to collect, upload, transmit, display, or distribute any content (i) that violates any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable; (iii) that is harmful to minors in any way; or (iv) that is in violation of any law, regulation, or obligations or restrictions imposed by any third party.
In addition, You agree not to: (i) upload, transmit, or distribute to or through the Apps any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send through the Apps unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii) use the Apps to harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Apps, or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Apps (or to other computer systems or networks connected to or used together with the Apps), whether through password mining or any other means; (vi) harass or interfere with any other user's use and enjoyment of the Apps; or (vi) use software or automated agents or scripts to produce multiple accounts on the Apps, or to generate automated searches, requests, or queries to (or to strip, scrape, or mine data) from the Apps (provided, however, that Company conditionally grants to the operators of public search engines revocable permission to use spiders to copy materials from the Apps for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials).

3.3 Program Variants – Definitions. Novo offers multiple telematics-based program variants within the Apps (Collectively, the "Program Variants"):

Monthly Variable ("Novo Flex"): a program in which driving behavior and related safety scoring may affect a variable portion of the policy premium, as further described in the NSP Terms & Conditions and Telematics Policy.
Fixed Participation ("Novo Next"): a program in which participation and/or safety scoring may affect pricing per the applicable program rules, as further described in the NSP Terms & Conditions and Telematics Policy.
Data Sharing ("Novo Classic"): a program that provides educational insights on driving behavior; the safety score is not used for premium calculation.
Novo Test Drive ("NTD"): a nonpolicyholder trial that allows prospective users to preview a driving safety score and, where available, request a quote; no insurance coverage is provided during the trial.
NovoAdapt: Novo’s analytics and underwriting framework referenced in the Apps and Privacy Policy in connection with risk assessment and pricing functionality.

3.4 Safe Operation. You acknowledge that devoting attention to the Apps while driving may pose a risk of injury or death to You and others in situations that otherwise require your undivided attention, and You therefore agree to comply with the following when using the Apps: (a) observe all traffic laws and otherwise drive safely; (b) do not use or manipulate the Apps, unless your vehicle is stationary and parked; and (c) arrange all wireless devices and cables necessary for use of the Apps (if any) in a secure manner in your vehicle so that they will not interfere with your driving and will not prevent the operation of any safety device (such as an airbag).

3.5 Modification. Company reserves the right, at any time, to modify, suspend, or discontinue the Apps (in whole or in part) with or without notice to You. You agree that Company will not be liable to You or to any third party for any modification, suspension, or discontinuation of the Apps or any part thereof.

3.6 No Support or Maintenance. You acknowledge and agree that Company will have no obligation to provide You with any support or maintenance in connection with the Apps.

3.7 Ownership. You acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Apps, the Website and contents contained therein are owned by Company, Company’s affiliates or Company's suppliers. Neither these Terms (nor your access to the Apps) transfers to You or any third party any rights, title or interest in or to such intellectual property rights, except for the limited license rights granted in Section 3.1. Company and its suppliers reserve all rights and licenses not granted in these Terms. There are no implied licenses granted under these Terms.

3.8 Insurance.

Online Purchases. Company may make certain insurance products and services available for purchase through the Website and Apps. If You purchase an insurance product via the Website or Apps, charges will be disclosed to You on the Website or App (as applicable) before You complete the purchase. If You purchase an insurance product or services via the Website or Apps, your Website or App account may include information You provide to us during the insurance application or claims process. You hereby represent and warrant that You will ensure that this information is kept accurate and up to date at all times. For the Mobile App based Program, maintaining Bluetooth connectivity with the vehicle is required for accurate trip tracking and policy management.
Content; No Advice. The content made available through the Apps (the "Content") is owned by the Company, Company’s affiliates or its respective licensors. Any insurance purchasing conclusions and decisions such as coverage amounts, limits and deductibles are completely and solely the responsibility of the insured. The Website, Apps and Content should not be construed as rendering tax, legal, investment, or accounting, or insurance advice. The posting of any prospectus or any other information is not a recommendation or opinion for You to buy any product or participate in any transaction involving the Company or any other party. At the time of a claim, coverage will be determined in accordance with the terms and conditions of the insurance policy and not these Terms. Accordingly, You are encouraged to review and understand your actual policy documentation prior to making any purchase decision.
Quotes. All quotes generated by the Company are based upon the information You provided and are not a contract, binder, or agreement to extend insurance coverage. Any coverage descriptions provided on the Apps are general descriptions of available coverages and are not a statement of insurance contract. To obtain coverage You must submit an application to the Company in the manner we permit. All insurance applications are subject to underwriting approval. Coverages and availability may vary by state and additional minimum coverage limits may be required in your state.
Payments. If Company accepts your insurance application, Company may accept payment via credit card or other electronic payment service. Company or its third-party payment processing partner will bill You based on the information You provide and Company accepts. By providing the payment information, You authorize Company to 1) charge your credit card or via other electronic payment service 2) store the payment information and 3) use the stored payment information to process monthly premium payments automatically on the due date. All currency references are in U.S. dollars. If the credit card or other payment information You provide is invalid for any reason, or if You charge back your credit card or other payment mechanism for fees due, Company may suspend or terminate any or all of the services and products Company provides to You. Company may automatically charge the card or other payment mechanism for recurring premiums or other recurring fees, the amount of which may change depending on policy changes You initiate and other factors approved by insurance regulatory authorities. Your policy is for the term specified in your insurance contract.
Insurance Claims. You may elect to report an insurance claim via the Apps where available. Any such reporting is subject to the applicable insurance policy. If You have any questions concerning the coverage afforded by your policy, please visit the Company support pages on the Apps, contact us by phone at 1-866-862-7757, by e-mail at support@novo.us.
Premium Impact & Eligibility. Where you enroll in a Program Variant that uses safety scoring for pricing (e.g., "Novo Flex" or "Novo Next"), the effects on premium, evaluation periods, and eligibility are determined by the applicable NSP Terms & Conditions and program rules. For "Novo Classic," safety scoring is provided for educational purposes and is not used for premium calculation. Enrollment and participation requirements (including device permissions and vehicle compatibility) are further described in the NSP Terms & Conditions and Telematics Policy.
Novo Test Drive (NTD). NTD participation is voluntary and does not provide insurance coverage. During NTD, we collect telematics data to generate a safety score and to illustrate how such data may inform a future quote. Participation in NTD does not obligate you to purchase insurance, nor does it guarantee eligibility, pricing, or issuance of any policy. Data collection and use for NTD are described in the Privacy Policy and Telematics Policy.

3.9 Order of Precedence; Program Changes.

Order of Precedence. If any conflict arises between these terms and (i) the NSP Terms & Conditions, (ii) the Telematics Policy, or (iii) the Privacy Policy with respect to telematics program mechanics, eligibility, data collection or scoring, those documents control for their respective subject matter.
Program Changes; Rebranding. We may update, rename, or replace Program Variants from time to time (for example, rebranding a Program Variant or modifying program rules). Material changes will be reflected in the NSP Terms & Conditions, Telematics Policy, and/or these Terms, as applicable.

3.10 Text Messaging (SMS) Terms. By enrolling in or otherwise opting in to receive text messages from Novo Insurance (the "SMS Program"), you agree to these SMS Terms. Consent to receive marketing texts is not a condition of purchase. Message and data rates may apply. Message frequency varies.

Opt‑In & Scope. You will receive SMS messages only if you expressly opt in (for example, by checking a box, entering your phone number and submitting a form that references these SMS Terms, or replying YES to a Novo opt‑in message). The SMS Program may include: account and service notifications (e.g., billing, claims, policy changes), security and verification messages (e.g., MFA, login alerts), and marketing and promotional messages.
Opt‑Out. You may opt out of marketing texts at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT. After you send a STOP command, we will send a single confirmation message to confirm that you have been unsubscribed. No further marketing messages will be sent to your mobile number unless you re‑opt in. You may continue to receive non‑marketing, service‑related texts where permitted by law or where required to deliver services you request.
Help. For help, reply HELP or contact us at support@novo.us.
Eligibility & Responsibility. You represent that you are the owner or authorized user of the mobile number you provide. If you change or deactivate your number, you agree to promptly update your account so messages are not sent to someone else.
Carriers & Delivery. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your wireless carrier and is outside Novo’s control. Supported carriers and coverage may change without notice.
Privacy. We process personal information associated with the SMS Program as described in our Privacy Policy at https://www.novo.us/privacy-pledge.
Changes. We may modify or suspend the SMS Program at any time; material changes to these SMS Terms will be reflected in this document or otherwise communicated as required by law.

3.11 Electronic Communications; E-Sign Consent. You agree that we may provide contracts, disclosures, notices, and other communications to you electronically (e.g., via the Apps, email, or SMS), and that your electronic acceptance has the same legal effect as a physical signature under applicable e‑signature laws (including the U.S. Electronic Signatures in Global and National Commerce Act). This consent covers, for example, policy documents, billing notices, consent confirmations, program enrollment notices, and other service-related communications. Marketing communications require separate consent and can be managed as described in these Terms and the Privacy Policy.

Delivery Methods. We may deliver electronic communications through in‑App messages, email to the address on your account, SMS to your mobile number, or other electronic means reasonably associated with your account.
Hardware/Software. To access and retain electronic communications, you will need a device with a modern web browser, internet access, an active email address, and (for some documents) a PDF reader. For SMS messages, you will need a text‑capable mobile device and service plan.
Paper Copies; Withdrawal of Consent. You may request a paper copy of an electronic communication or withdraw your consent to electronic delivery by contacting support@novo.us. We may take a reasonable time to process your request. If you withdraw consent, we may need to discontinue or limit some services that require electronic delivery.
Updating Contact Information. You agree to keep your email address and mobile phone number current in your account settings so we can deliver electronic communications.
Record Retention. We may retain electronic records of your communications and e‑signatures as permitted by law and our Privacy Policy, and you agree that such records are admissible as originals.
Agent‑Assisted Consents. Where an agent assists with enrollment or account actions, you authorize us to capture your consent electronically (including via the Apps, email, or SMS) and to store confirmations of your consent.

3.12 Call Recording & Monitoring. Calls to or from our customer service centers may be monitored or recorded for quality assurance, training, fraud prevention, compliance, and to document transactions. Where required by law, we will provide a disclosure at the beginning of the call. By continuing with the call after such disclosure, you consent to monitoring/recording. If you do not wish to be recorded, please end the call and contact us through alternative channels listed in the Apps (e.g., secure in‑app messaging or email at support@novo.us). We process audio/electronic information in accordance with our Privacy Policy at https://www.novo.us/privacy-pledge.

3.13 Program Integrity; Anti‑Tampering. You agree to use the Apps and any associated telematics features as intended and not to interfere with, disable, or falsify any functionality used to capture or process data.

No Interference or Falsification. You must not (i) disable required device permissions or connectivity used for telematics features (e.g., Bluetooth and location); (ii) manipulate operating‑system settings, use GPS/Bluetooth spoofing, emulators, relays, rooted/jail‑broken environments, or other techniques to misrepresent your location, identity, trips, or driving behavior; (iii) misattribute trips to the wrong driver or vehicle; or (iv) otherwise attempt to circumvent or disrupt data capture, pairing, or scoring workflows.
Diagnostics & Remediation. We may use reasonable technical measures to validate device/app pairing and data integrity (e.g., permission checks, version checks, telemetry consistency signals) and may ask you to re‑enable permissions, update software, re‑pair devices, or take other reasonable steps to restore intended functionality.
Account & Device Security. You are responsible for maintaining the security of your account and devices used with the Apps and for promptly updating your contact information. Do not share your login credentials or allow unauthorized access to your account.
Enforcement Under These Terms. We may suspend or terminate access to the Apps, or specific features, where we reasonably determine there is interference, falsification, or misuse in violation of this Section 3.13 or Section 3 (Access to the Apps).
Program‑Level Consequences. Program mechanics (including any impact on eligibility, participation status, discounts, or pricing for Program Variants) are governed by the NSP Terms & Conditions and applicable Program rules.
No Waiver of Rights. We may investigate suspected misuse and cooperate with law enforcement where required by law. Nothing in this Section limits our rights under these Terms or applicable law.

3.14 Service vs. Marketing Communications.

Service/Transactional Communications. We send service- or transaction-related communications (e.g., policy, billing, claims, identity verification, program enrollment status, device/permission alerts) by email, in-App, SMS, or phone as needed to provide requested services. These are distinct from marketing and may continue even if you opt out of marketing, to the extent permitted by law.
Marketing Communications; Separate Consent. Marketing communications (including marketing SMS and telemarketing calls) require your separate consent and are optional; consent to receive marketing is not a condition of purchase. You can manage marketing preferences in the Apps and as described below.
Opt-Out Mechanics by Channel.

(a) Email: Use the unsubscribe link included in our emails. We will honor email opt-out requests within the period required by law (e.g., 10 business days).
(b) SMS: Reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to opt out of marketing texts; see Section 3.10 (SMS Terms) for details. You may continue to receive permitted service-related texts.
(c) Phone Calls: We do not place telemarketing calls without appropriate consent. We honor federal/state Do Not Call requirements as applicable.
Scope of Opt-Out. Opting out of marketing in one channel (e.g., email) does not automatically opt you out of marketing in other channels (e.g., SMS), unless required by law. You may adjust preferences per channel at any time.
Privacy. We process information associated with these communications in accordance with our Privacy Policy at https://www.novo.us/privacy-pledge.

3.15 Agent‑Assisted Enrollments and Consent Capture. Where a Novo agent or authorized representative assists you with account actions or enrollment (including Program Variant selection or Non‑Policyholder Test Drive), you authorize us to capture the required consents electronically and to deliver related notices via the channels described in these Terms (e.g., in‑App, email, or SMS).

Consent Methods. Consents may be obtained through the Apps (including embedded flows), electronic signature, email confirmations, and/or SMS confirmations where appropriate. Your electronic acceptance has the same legal effect as a wet‑ink signature, as described in Section 3.9 (Electronic Communications; E‑Sign Consent).
Identity Verification. We may require reasonable identity verification (e.g., one‑time codes, knowledge‑based prompts, document checks) before completing agent‑assisted actions.
SMS Confirmations. Where required by carrier policy or law, we may send you an SMS opt‑in confirmation; you may need to reply with a specified keyword (e.g., YES) to complete enrollment for marketing texts. STOP/HELP keywords and other SMS terms are described in Section 3.8 (SMS Terms).
Separate Marketing Consent. Consent for marketing communications (including marketing SMS/telemarketing) is separate and optional, is not a condition of purchase, and can be managed or withdrawn as described in Sections 3.10 and 3.14.
Record of Consent. You consent to our maintaining auditable records of your consents and acknowledgments (including timestamps, channel, agent ID where applicable), consistent with our Privacy Policy at https://www.novo.us/privacy-pledge.
Accuracy and Authority. You represent that the information you provide (including your email address and mobile number) is accurate and that you are the owner or authorized user of the number/email provided. If you change or deactivate your number or email, you agree to promptly update your account.

3.16 Referrals and Rewards. From time to time, Company may make available to You one or both of the following, as disclosed in the Apps or on the Website: (i) a referral program that allows eligible users to invite others to create an account and complete specified activities; and/or (ii) a rewards program that allows eligible users to accrue points or other incentives for certain in‑App activities (collectively, the "Programs"). Participation in the Programs is voluntary and subject to this Section 3.16, Section 3.9 (Program Changes; Rebranding), and any Program‑specific disclosures shown in the Apps or on the Website at the time of Your participation (the "Program Rules").

Program Eligibility & Territory. Program availability, eligibility criteria, and activities that qualify for rewards will be disclosed in the Apps or Program Rules and may vary by state. Programs may be limited to certain product experiences (e.g., Novo Test Drive) and geographies (e.g., initially available only to Arizona users). Programs are void where prohibited by law.
Program Mechanics. Where available, a referrer may share a unique link or in‑App invitation. A referral is "Successful" only when both the referrer and the referee meet the in‑App completion criteria disclosed in the Program Rules (e.g., each has a Safety Score available after completing the required drive test). No purchase is required. Company may cap the number of Successful referrals per user (e.g., up to 10 per Referrer) and will disclose any cap in the Apps.
Rewards; Form of Incentive; Delivery. Where disclosed in the Apps, Company may provide an incentive to each party upon a Successful referral (e.g., an electronic gift card delivered by a third‑party provider). Company may use third‑party platforms to fulfill incentives; those providers’ terms apply to redemption, and Company is not responsible for such providers’ acts or omissions (see Section 4.1 (Third‑Party Links)). Incentives have no cash value, are non‑transferable, and may not be sold, bartered, or exchanged, except as required by law.
State Insurance and Marketing Compliance. Programs are administered in compliance with applicable insurance laws and guidance on rebates/inducements and marketing practices. Incentives are not contingent on obtaining a quote, purchasing a policy, or remaining insured, and Programs may be modified, limited, or unavailable in certain states to comply with law. Company may substitute an item of equal or greater value, or an alternative redemption method, to address legal or operational constraints.
Fraud, Abuse & Program Integrity. Company may delay, withhold, or cancel rewards and/or suspend or terminate Program participation if we suspect fraud, misuse, automated/abusive activity, or a violation of these Terms (including Section 3.13 (Program Integrity; Anti‑Tampering)). Company may require identity or eligibility verification and impose reasonable limits to maintain Program integrity.
Taxes & Reporting. You are responsible for any taxes that may result from receiving incentives. Company may require a completed Form W‑9 (or equivalent) and may issue an IRS Form 1099‑MISC as required by law. Failure to provide required tax information may result in withholding or forfeiture of incentives.
Changes; Discontinuation. Programs (and any particular incentive, conversion rate, cap, or qualifying activity) may be modified or discontinued at any time as permitted by Section 3.9. Material changes will be reflected in the Apps and/or Program Rules; continued participation after changes constitutes acceptance.
Relationship to Other Documents. The collection and processing of personal information for referrals and rewards (e.g., referral link/code, event timestamps, eligibility status, and Program anti‑abuse checks) is governed by the Privacy Policy and Telematics Policy, as applicable. See Section 9.4 and the policies referenced in these Terms.

THIRD PARTY LINKS

4.1 Third-Party Links. The Website and Apps may contain links to third-party websites and services (collectively, "Third-Party Links"). Company provides access to these Third-Party Links only as a convenience to You, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links. You use all Third-Party Links at your own risk, and should apply a suitable level of caution and discretion in doing so. When You click on any of the Third-Party Links, the applicable third party's terms and policies apply, including the third party's privacy and data gathering practices. You should make whatever investigation You feel necessary or appropriate before proceeding with any transaction in connection with such Third-Party Links.

NO WARRANTY

The Website and Apps are provided on an "as-is" and "as available" basis, and Company, its affiliates, and its suppliers expressly disclaim any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. Company, its affiliates and suppliers make no warranty that the Website and/or Apps will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. In the event applicable law requires Company, its affiliates, or suppliers to provide any warranties with respect to the Website or Apps, all such warranties are limited in duration to ninety (90) days from the date of first use.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to You. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to You.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, notwithstanding anything to the contrary contained herein, the liability to You by Company, its affiliates or suppliers for any damages arising from or related to the Website, Apps or any agreement entered into between You and Company (for any cause whatsoever and regardless of the form of the action), will at all times be limited to a maximum of fifty U.S. dollars ($50.00). The existence of more than one claim will not enlarge this limit.

To the maximum extent permitted by law, in no event shall Company, its affiliates or suppliers be liable to You or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of, or inability to use, the Website or Apps, even if Company has been advised of the possibility of such damages. Access to, and use of, the Website and Apps are at your own discretion and risk, and You will be solely responsible for any damage to your device or computer system, or loss of data resulting therefrom.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to You.

INDEMNIFICATION

You agree to indemnify and hold Company (and its officers, employees, agents and affiliates) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Website or Apps, (b) your violation of these Terms, (c) your violation of applicable laws or regulations; or (d) your user content. Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify us, and You agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Company. Company will use reasonable efforts to notify You of any such claim, action or proceeding upon becoming aware of it.

TERM & TERMINATION

Subject to this Section 8, these Terms will remain in full force and effect for your use of the Website or Apps. Company may suspend or terminate your rights to use the Website and/or Apps (including your Account) at any time for any reason at its sole discretion, including for any use of the Website or Apps in violation of these Terms. Upon termination of your rights under these Terms, your Account and right to access and use the Website or Apps will terminate immediately. You understand that any termination of your Account may involve deletion of your user content associated with your Account from Company’s databases. Company will not have any liability whatsoever to you for any termination of your rights under these Terms, including for termination of your Account or deletion of your user content. Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2, 3.2 through 3.7, and Sections 4 through 10.

GENERAL

9.1 Changes. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify You by sending You an e-mail to the last e-mail address You provided to us (if any), and/or by prominently posting notice of the changes on the Apps. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address that You have provided us is not valid, or for any reason is not capable of delivering to You the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective upon the earlier of thirty (30) calendar days following our dispatch of an e-mail notice to You (if applicable) or thirty (30) calendar days following our posting of notice of the changes on the Apps. These changes will be effective immediately for new users of the Apps. Continued use of the Apps following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

9.2 Dispute Resolution. Please read this Arbitration Agreement carefully. It is part of your contract with Company and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

Applicability of Arbitration Agreement. All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Terms or the use of any product or service provided by the Company that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Section 9.2. Unless otherwise agreed to, all arbitration proceedings shall be held in English. These Terms, including this Section 9.2, applies to You and the Company, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.
Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written notice of dispute ("Notice") describing the nature and basis of the claim or dispute, and the requested relief. A Notice to the Company should be sent to: 1881 W Traverse Parkway Ste E #613, Lehi, UT 84043 Attn: General Counsel. After the Notice is received, You and the Company may attempt to resolve the claim or dispute informally. If You and the Company do not resolve the claim or dispute within thirty (30) days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award, if any, to which either party is entitled.
Arbitration Rules. Arbitration shall be initiated through the American Arbitration Association ("AAA"), an established alternative dispute resolution provider ("ADR Provider") that offers arbitration as set forth in this section. If AAA is not available to arbitrate, the parties shall agree to select an alternative ADR Provider. The rules of the ADR Provider shall govern all aspects of the arbitration, including but not limited to the method of initiating and/or demanding arbitration, except to the extent such rules are in conflict with the Terms. The AAA Consumer Arbitration Rules ("Arbitration Rules") governing the arbitration are available online at www.adr.org or by calling the AAA at 1-800-778-7879. The arbitration shall be conducted by a single, neutral arbitrator. Any claims or disputes where the total amount of the award sought is less than ten thousand U.S. Dollars (US $10,000.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount of the award sought is ten thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the Arbitration Rules. Any hearing will be held in a location within 100 miles of your residence, unless You reside outside of the United States, and unless the parties agree otherwise. If You reside outside of the U.S., the arbitrator shall give the parties reasonable notice of the date, time and place of any oral hearings. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Each party shall bear its own costs (including attorney's fees) and disbursements arising out of the arbitration and shall pay an equal share of the fees and costs of the ADR Provider.
Additional Rules for Non-Appearance Based Arbitration. If non-appearance-based arbitration is elected, the arbitration shall be conducted by telephone, online and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration. The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise agreed by the parties.
Time Limits. If You or the Company pursue arbitration, the arbitration action must be initiated and/or demanded within the statute of limitations (i.e., the legal deadline for filing a claim) and within any deadline imposed under the AAA Rules for the pertinent claim.
Authority of Arbitrator. If arbitration is initiated, the arbitrator will decide the rights and liabilities, if any, of You and the Company, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages, and to grant any non-monetary remedy or relief available to an individual under applicable law, the AAA Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon You and the Company.
Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under Section 9.2. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in a court and are subject to very limited review by a court. In the event any litigation should arise between You and the Company in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND THE COMPANY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.
Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.
Confidentiality. All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, shall be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this Agreement, to enforce an arbitration award, or to seek injunctive or equitable relief.
Small Claims Court. Notwithstanding the foregoing, either You or the Company may bring an individual action in small claims court.
Emergency Equitable Relief. Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.
Right to Opt Out. You have the right to opt-out and not be bound by Section 9.2 by mailing written notice of your decision to opt out to the following address: 1881 W Traverse Parkway Ste E #613, Lehi, UT 84043, Attn: General Counsel. The written notice must be signed by You and include your name, mailing address, and the email address You used to access these Terms. The Notice must be received by us within thirty (30) days of the date You registered.
Claims Not Subject to Arbitration. Notwithstanding the foregoing claims of defamation, violation of the Computer Fraud and Abuse Act, and infringement or misappropriation of the other party's patent, copyright, trademark or trade secrets shall not be subject to this Arbitration Agreement.
Courts. In any circumstances where Sections 9.2(l) or 9.2(m) permits the parties to litigate in court, the parties hereby agree to submit to the personal jurisdiction of the courts located within Santa Clara County, California, for such purpose

9.3 Export. The Apps may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from Company, or any products utilizing such data, in violation of the United States export laws or regulations.

9.4 Entire Terms. These Terms along with our Privacy Policy and Telematics Policy constitute the entire agreement between Company and You with respect to use of the Website and Apps. Company’s or your failure to require performance of any provision shall not affect that party's right to require performance at any time thereafter, nor shall a waiver of any breach or default of these Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation".

By using our Services, You consent to the collection, use, and sharing of your information as described in our Privacy Policy and Telematics Policy. We collect and process personal data necessary to provide our Services, including but not limited to information about your vehicle, driving habits, and location data. This information is used to calculate premiums, detect fraud, and improve our services. For a comprehensive understanding of how we collect, use, share, and protect your personal data, please refer to our Privacy Policy and Telematics Policy. These policies provide detailed information about your rights, choices, and our data practices.

9.5 Severability & Waiver. If any provision herein is held unenforceable, then such provision will be modified to reflect the intention of the parties, and the remaining provisions of this Agreement will remain in full force and effect. Any or all rights and limitations set forth in these Terms may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of these Terms.

9.6 No Assignment. You may not resell, assign, or transfer any of your rights hereunder. Any such attempt will be void. Notwithstanding the foregoing, Company may assign these Terms at any time without notice.

9.7 Electronic Communications. Electronic delivery of contracts, disclosures, notices, and other communications (including any consent capture and records retention) is governed by Section 3.11 (Electronic Communications; E‑Sign Consent) and related channel‑specific terms, including Section 3.10 (SMS Terms) and Section 3.14 (Service vs. Marketing Communications).

9.8 No Partnership. Your relationship to Company is that of an independent contractor, and neither party is an agent or partner of the other.

9.9 Survival of Terms. These Terms will survive the termination of your relationship with Company.
